Four problems specific to a company that started inside an institution.
- →The credibility does not transfer. The lab has thirty years of reputation and the spinout has a logo made in a presentation tool. Buyers and investors read the second one, not the first.
- →The name belongs to someone else. Working titles built from the lab, the grant or the principal investigator rarely survive separation, and the institution usually has a view on which parts of the name it is willing to let go.
- →The page is written as a paper. Abstract, method, results. Accurate, peer-reviewable and unreadable by anyone deciding whether to buy or fund it. The order that convinces a reviewer is not the order that convinces a buyer.
- →The licence is the business model. What is licensed, what is exclusive and what the institution retains is often the most commercially important fact about the company, and it is usually missing from the site entirely.

How early should we do this?
Once the licence terms are settled and before go-to-market. Branding a spinout whose IP position is still being negotiated means redoing it when the terms land.
Can you work with the institution's tech transfer office?
Yes, and it is usually necessary. What the company may claim about the research is a licensing question before it is a marketing one.
Does the founder stay academic in tone?
The register shifts and the rigour does not. The claims still have to survive a reviewer; they just arrive in the order a buyer reads.
What if we cannot use the lab's name?
Common, and usually better. A name of your own is an asset the company owns rather than borrows, and the association can still be stated in words.
Do you sign an NDA first?
Yes. Unpublished results and unfiled IP are the normal starting condition.
